1. Introduction and Acceptance

Welcome to Vividoc.ai ("Company", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our website, AI video generation tools, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

2. Age and Account Requirements

2.1 Age Restriction

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher) to use our Services. Our Services are not intended for children under 18.

2.2 Account Security

  • Personal Use Only: Your account is personal to you. You may not share, rent, sell, or transfer your account credentials to any third party. 
  • Security: You are responsible for safeguarding your password and any API keys. You are solely responsible for all activities that occur under your account, whether or not you authorized that activity. 
  • Device Limits: We reserve the right to limit the number of devices that can access your account simultaneously to prevent abuse.

3. Service Usage and Restrictions

3.1 Permitted Use

You may use the Services only for lawful purposes and in accordance with these Terms. You acknowledge that our Services rely on third-party AI models and frameworks (including but not limited to Replicate and any third parties).

3.2 Prohibited Uses

You agree NOT to use the Services:

  • Illegal Content: To generate child sexual abuse material (CSAM), non-consensual nudity, violence, gore, hate speech, or content promoting terrorism or self-harm. 
  • Political & Misinformation: To generate content for political campaigns, propaganda, or to spread misinformation/disinformation. 
  • High-Risk Use: For "high-risk" activities where failure could lead to death, personal injury, or environmental damage (e.g., medical diagnosis, legal advice, operating critical infrastructure, nuclear facilities). 
  • Scraping & Reverse Engineering: To reverse engineer, decompile, or extract source code, algorithms, or models from our Services. You must not scrape or mine data from our platform. 
  • Competitive Development: To use our outputs to develop models that compete with Vividoc.ai or our third-party providers. 
  • US Specific Restrictions: If you are in the United States, you must not process content subject to ITAR (International Traffic in Arms Regulations) or HIPAA (Health Insurance Portability and Accountability Act) via our Services.

3.3 Deep Synthesis and Labeling

If you use our Services to create "deep synthesis" content (content that appears realistic but is AI-generated), you agree to:

  • Comply with all applicable laws regarding AI disclosure. 
  • Clearly label such content as "AI-Generated" or "Synthetic" if required by law in your jurisdiction. 
  • Not mislead others into believing AI-generated content is human-created or a recording of a real event.

3.4 No Workflow Replication

Customers may not reproduce, resell, or distribute Company’s proprietary AI workflows, prompt systems, or automation pipelines as a competing product or service.

4. Intellectual Property

4.1 Your Content

You retain ownership of the prompts, documents, and files you upload ("Input") and, to the extent permitted by law, the outputs generated ("Output").
To the extent permitted by law, you receive a non-exclusive, worldwide, perpetual license to use the generated Output for lawful commercial and non-commercial purposes.
Unless explicitly agreed in writing, Outputs generated through the Services may not be resold, licensed, sublicensed, or redistributed as standalone media assets or stock content. This includes, but is not limited to, uploading generated videos to stock media marketplaces, content libraries, or platforms that allow third parties to download or license the media as standalone assets. Outputs may be used in commercial projects such as marketing, social media, advertising, films, or presentations, provided the Output is incorporated into a larger work and not redistributed as a standalone downloadable asset.
You agree to comply with all applicable laws regarding the use of synthetic media and AI-generated content, including any requirements to disclose or label AI-generated material.
You may not use the Services to generate content that depicts or imitates real individuals, public figures, celebrities, brands, trademarks, or copyrighted characters in a way that could cause confusion, misrepresentation, or infringement of intellectual property or publicity rights.
Company respects the intellectual property rights of others. If you believe content generated through the Services infringes your copyright or intellectual property rights, you may submit a written notice to Company including:

  • identification of the copyrighted work
  • identification of the allegedly infringing content
  • your contact information
  • a statement that you have a good-faith belief the use is unauthorized
Company may remove or disable access to allegedly infringing content and may terminate accounts of repeat infringers.
Due to the nature of artificial intelligence systems, identical or similar outputs may be generated for other users. Company does not guarantee exclusivity or uniqueness of any generated Output.

4.2 License Grant to Vividoc.ai

By using the Services, you grant us and our third-party AI providers (including Replicate third parties) a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, modify, and display your Input and Output for the purposes of:

  • Providing and maintaining the Services. 
  • Improving and training our AI models, workflows and algorithms. 
  • Complying with applicable laws and enforcing our policies.
  • Company may display non-explicitly marked as private generated videos in its portfolio, marketing materials, or demonstrations of the Services.
  • Company may use Inputs and Outputs to improve and maintain the Services, including improving AI workflows and system performance.
  • Company does not intentionally use customer content to train third-party foundation models.
  • Customers who require that their content not be used for internal service improvement may request an opt-out by contacting Company in writing.

Note: We may use de-identified or aggregated data derived from your usage for commercial purposes, including benchmarking and model improvement.

4.3 Third-Party Software

Our video generation capabilities utilize Third-Party services.

  • Software provided "AS IS": All software is provided "AS IS" without warranty of any kind. 
  • No License Transfer: Your use of our Service does not grant you a direct license to software code. Users do not upload  code to our platform; they only provide content parameters. 
  • Ownership of Media: You own the video files (MP4/media) generated, to the extend defined herein, but Vividoc.ai and third-parties retain all rights to the underlying software and rendering technology.
  • You acknowledge that AI-generated outputs may contain artifacts, inaccuracies, stylistic inconsistencies, or unintended similarities to existing works. Company is not responsible for verifying the originality of generated outputs.

4.4 Third-Party AI Models

Our Services utilize third-party artificial intelligence models and infrastructure providers, including but not limited to platforms such as Replicate and models provided by independent developers.
These models may change, be updated, removed, or experience downtime at any time without notice. Company does not control the training data, model architecture, or output behavior of these third-party models.
Company reserves the right to change, replace, or discontinue AI models used in the Services at any time if such models become unavailable, restricted, or commercially impractical to operate.
Company makes no representations or warranties regarding the accuracy, legality, originality, or reliability of outputs produced by third-party AI models.

5. Payment and Credits

  • Fees: Services are billed according to the pricing page. If fees are exclusive of taxes (VAT, GST, Sales Tax) for you, then you are responsible for paying. 
  • No Refunds: Payments are non-refundable except as required by law (see our Refund Policy).  For the Done-For-You Video Creation Service, all sales are final — see Section 6.2.
  • Credit Expiration: Prepaid credits may expire if not used within the timeframe specified at purchase (typically 12 months). 
  • Company reserves the right to suspend or terminate accounts that initiate fraudulent payment disputes or chargebacks after receiving delivered Services.
  • Late Fees: We reserve the right to charge late fees of up to 1.0% per day on overdue amounts, or the maximum permitted by law.

6. Done-For-You Video SaaS Project Creation Service

Vividoc.ai offers a managed "Done-For-You" video project creation service ("DFY Service") where we produce an AI-generated video on your behalf based on a description and content you provide and using existing tools offered. Company may advertise the Service as “Done-For-You” videos. The initial video generation may be triggered by Company on behalf of the client using pre-configured workflows and client provided data. After the initial generation, clients have full control to edit, regenerate, and download their video projects. All outputs are subject to the standard SaaS licensing, usage, and third-party AI model disclaimers. By using the Service, you acknowledge that final video outcomes may vary due to AI interpretation and that Company is not responsible for client edits or regenerations. Delivered entirely electronically as part of our SaaS platform.
Because AI systems interpret prompts and instructions probabilistically, the final video may differ from your subjective expectations. You acknowledge that the DFY Service involves creative interpretation by AI systems and that exact visual outcomes cannot be guaranteed.
You remain solely responsible for the legality of the concepts, scripts, brand references, and ideas you request in a DFY project. Company does not independently verify whether requested concepts infringe third-party rights.
The following additional terms apply to all DFY Service orders:

6.1 Payment and Order Confirmation

Payment is due in full at the time of ordering. Your order is confirmed only upon successful payment. We reserve the right to refuse or cancel an order if we determine the requested content violates these Terms or applicable law.

6.2 No Refunds

All DFY Service payments are final and non-refundable. By completing payment, you acknowledge that production work begins promptly upon order confirmation. No refunds will be issued after payment, regardless of whether you accept the delivered video.

6.3 No Revisions by Company

The DFY Service produces one (1) video based solely on the description and any supporting content you provide at the time of order. We do not offer revision rounds, alternate versions, or re-edits once production has begun. We can provide access to your project page where you can edit and regenerate. You are solely responsible for providing accurate, complete, and sufficient information at the time of ordering so your project creation is best aligned to your expectations.

6.4 Approximate Duration

Video lengths are produced to best approximate your selected duration (e.g., 30, 60, or 90 seconds). Actual runtime may vary slightly depending on your content and script requirements. We do not guarantee an exact runtime and approximate duration is not grounds for a refund or dispute.

6.5 Delivery and Acceptance

Upon completion, you will receive a secure private link to our SaaS platform where your project is created and where you can review it as a SaaS project and preview your video in watermarked form. You must click "Accept" within the validity period of the link to receive the final, watermark-free version. You can use our project page to continue editing. Clicking "Accept" constitutes your formal confirmation of delivery and your acceptance of the video as delivered. Once accepted, no further claims regarding delivery may be made.

6.6 Content You Provide

You confirm that you own or have the right to use any content, documents, scripts, brand assets, or other materials you submit as part of your DFY Service order, and that such content does not infringe any third-party rights or violate applicable law. You remain solely responsible for the accuracy, legality, and suitability of the content you provide. Vividoc.ai will not create projects that may be defamatory, illegal, fraudulent, or violates these Terms.

6.7 AI-Generated Output

All DFY Service videos are created entirely using AI-generated characters, AI voiceover, and AI rendering technology using our existing workflows. Videos will not include real people, live footage, or physical production. The nature of AI-generated content means minor imperfections, stylistic variations, or interpretation of your brief may occur.
You explicitly acknowledge that AI-generated outputs may contain artifacts, inaccuracies, stylistic inconsistencies, or unintended similarities to existing works. Company is not responsible for verifying the originality of generated outputs.

6.8 Production Timeline

Estimated production timelines are provided for convenience only and are not guaranteed. Delivery may be delayed due to model availability, system load, or third-party infrastructure issues.

7. Disclaimers and No Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIVIDOC.AI AND ITS PROVIDERS (INCLUDING 3RD PARTIES) DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

  • No Accuracy Guarantee: AI models may "hallucinate" or generate inaccurate, offensive, or misleading information. You must verify all Output before use. 
  • No Professional Advice: The Services do not constitute legal, medical, or financial advice. Your content should be for entertainment only and not provide any such advice.
  • Service Availability: We do not guarantee uninterrupted access. We rely on third-party APIs that may experience downtime.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, VIVIDOC.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO US IN THE 6 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

9. Indemnification

You agree to indemnify and hold harmless Vividoc.ai and its providers from any claims, damages, or expenses arising from your use of the Services, your Content, or your violation of these Terms or any applicable law.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of . Any disputes shall be resolved through binding arbitration in , except for claims regarding intellectual property rights.
